This Platform Terms of Use, Rights, Sovereignty and Binding Agreement (hereinafter the "Agreement") constitutes a legally binding contract between you ("User," "Visitor," "Subscriber," or "Entity") and Point Break Trading Group LLC, a limited liability company registered in the State of New Jersey, federally electing C-Corporation treatment under IRC §7701 ("PBTG," "the Company," "Genesis Protocol," "We," "Us," or "Our").
By accessing, browsing, registering for, or using the Genesis Protocol platform, its infrastructure, APIs, services, tools, documentation, intellectual property, or any derivative thereof — in any capacity, for any duration, through any interface — you unconditionally accept every term, clause, restriction, reservation, and obligation set forth in this Agreement.
This Agreement supersedes all prior communications, representations, negotiations, or understandings — written, oral, or implied — between you and PBTG. It governs your relationship with the Genesis Protocol platform in totality.
Genesis Protocol is a sovereign digital trust and proof infrastructure platform developed, owned, and operated exclusively by Point Break Trading Group LLC. The platform includes but is not limited to: deterministic execution systems, AI output trust enforcement infrastructure (AOTEA), execution constraint governance layers (GECL), decentralized identity systems, sovereign proof chains, holographic state resolution engines, cryptographic receipt systems, post-quantum identity registries, and all associated APIs, interfaces, documentation, and data outputs.
The platform operates under a deterministic constraint governance architecture. All AI components within this platform are advisory only and do not govern outcomes. Deterministic governors maintain final authority over all execution decisions. This architecture is proprietary to PBTG and protected under applicable intellectual property law.
PBTG expressly and unconditionally reserves all rights — known and unknown, existing and future — in and to the following:
Upon registration, Users are provisioned a Sovereign Decentralized Identifier (DID) under the did:genesis: method namespace, which is exclusively owned, operated, and governed by PBTG. The following terms govern all DID-related matters:
Access to the Genesis Protocol platform is granted solely for lawful purposes consistent with this Agreement. The following conduct is absolutely prohibited and will result in immediate termination, legal action, and permanent chain-anchored record of violation:
By accessing the Genesis Protocol platform, you acknowledge exposure to Confidential Information, defined as any non-public information concerning PBTG's technology, architecture, business strategy, financial information, customer data, pricing models, research, development, or operations — whether marked as confidential or not, if a reasonable person would understand it to be confidential given its nature and the circumstances of disclosure.
You agree to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent from an authorized officer of PBTG; (c) use Confidential Information solely to evaluate and use the Genesis Protocol services you are authorized to access; and (d) promptly notify PBTG of any unauthorized disclosure or use of Confidential Information upon discovery.
The Genesis Protocol platform employs AI components in an advisory capacity only. All final decisions, outputs, and actions are governed by deterministic constraint systems. PBTG makes no warranty that AI-advisory outputs are accurate, complete, lawful, or suitable for any particular purpose.
You bear sole responsibility for all decisions you make based on platform outputs. PBTG expressly disclaims liability for: investment decisions, trading decisions, legal determinations, medical determinations, compliance certifications, or any consequential action taken in reliance on Genesis Protocol outputs — whether those outputs were issued with a PASS, FLAGGED, or BLOCKED verdict.
THE GENESIS PROTOCOL PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PBTG'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM — WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO PBTG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
IN NO EVENT SHALL PBTG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL — EVEN IF PBTG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PBTG collects and processes data as follows:
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America, without regard to its conflict of law principles.
Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement or the Genesis Protocol platform shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in New Jersey. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You irrevocably waive any right to participate in any class action, collective action, or representative proceeding against PBTG. All claims must be brought in your individual capacity only.
Equitable Relief Exception: Notwithstanding the mandatory arbitration clause, PBTG may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or proprietary technology.
This Agreement becomes effective upon your first access to the platform and continues until terminated. PBTG reserves the right to terminate, suspend, restrict, or modify your access at any time, with or without cause, with or without notice, including but not limited to violation of this Agreement, suspicious activity, legal obligation, or business necessity.
Upon termination: your session token and DID will be deactivated; your account data may be retained for legal, compliance, and audit purposes; all immutable chain records of your activity will remain permanently anchored to the sovereign proof chain; and all provisions of this Agreement that by their nature should survive termination shall survive, including Sections on intellectual property, confidentiality, limitation of liability, and governing law.
PBTG reserves the unilateral right to modify, amend, update, or replace this Agreement at any time. Changes will be effective upon posting to the platform. Your continued use of the platform following notice of changes constitutes your acceptance of the modified Agreement.
It is your responsibility to review this Agreement periodically. PBTG may, but is not obligated to, provide notice of material changes.
This Agreement, together with any applicable service-specific terms, constitutes the entire agreement between you and PBTG with respect to the Genesis Protocol platform and supersedes all prior agreements, representations, and understandings.
If any provision of this Agreement is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
PBTG's failure to enforce any provision of this Agreement shall not be construed as a waiver of any right or provision. All waivers must be in writing and signed by an authorized officer of PBTG to be effective.
